Booz Allen Hamilton has entered into a definitive agreement to acquire the Ultra I&C Mission Solutions business from Cobham Ultra Group, an Advent portfolio company, for $720 million. The transaction shifts the tactical encryption and edge-compute supplier into a wholly owned subsidiary of the defense contracting giant. Financial expectations released by the buyer point to strong double-digit revenue growth for the segment over the next several years, with projected EBITDA margins tracking well above 20%.
The cash transaction absorbs a product portfolio specialized in unified command and control, edge computation, secure data movement, and encryption within contested or disconnected warfighting environments. Specific software and hardware assets transferring ownership include the Apex, ADSI, ACTS, Rain, and Knox product lines. These modules will combine with Booz Allen’s existing military infrastructure suite, which currently spans artificial intelligence battle management systems and resilient communication tools like the Modular Detachment Kit, EdgeXtend, and Sit(x).
Under the post-acquisition mandate, the combined entity will streamline product delivery through outcomes-based procurement and Foreign Military Sales channels to deploy commercial technology into national security missions. The corporate integration aims to resolve the scaling bottlenecks military allies face when trying to generate operational utility from commercial innovations on the battlefield. Steve Escaravage, president of Booz Allen’s defense technology business, stated that the combination "provides a foundation for our continued investment to harness advantage from commercial technology innovation."
The deal is scheduled to close in the second quarter of Booz Allen’s fiscal year 2027, which ends September 30, 2026, subject to customary closing conditions. Advisory teams backing the transaction include Jefferies, PwC, King & Spalding, and Renaissance Strategic Advisors for the buyer, while Baird, KPMG, and Latham & Watkins represented Ultra Mission Solutions and Advent.
